Position Overview: The Director or Senior Director (depending on experience) will report to Cognizant’s Head of Corporate Governance and be responsible for ensuring Cognizant’s compliance with federal and state securities laws and requirements, as well as drafting, reviewing, and managing SEC filings. The Director will also have a key, strategic role in general corporate governance, securities related matters, and financings, and will work closely with various departments, including, the Controllership, Finance and Accounting, Investor Relations, Equity Compensation, Human Resources, Public Relations, Marketing, Treasury, and Tax.
Experience: The successful candidate will have at least 5 (five) years of experience practicing Securities law at a top law firm or publicly traded company, with a focus on matters related to public company and subsidiary corporate governance, board and committee meetings, shareholder meetings, investor relations, corporate communications, SEC compliance and reporting, NASDAQ compliance, and managing external counsel on these matters.
Compensation: Range commensurate with experience, $225-250k base plus 20-25% bonus plus equity.
Location: New York, NY or Remote (anywhere in the U.S.). 5% travel as required.
Bar: Active bar membership in good standing in at least one U.S. jurisdiction.
