IMEG is growing, and we’d love to have you join our team!  We are currently seeking an Associate Counsel, M&A in our Rock Island, IL, or Chicago,IL office. The Associate Counsel M&A will be responsible for overseeing and executing complex M&A transactions, providing expert legal guidance, and ensuring compliance with regulatory requirements. Reporting directly to the Chief Legal Officer, this position advises on strategic acquisitions, mergers, divestitures, and joint ventures. This position works closely with the M&A team and supports IMEG’s litigation and project claims, as time permits. 

Principal Responsibilities 

• Provide legal guidance and strategic support on M&A transactions, including deal structuring, due diligence, and negotiations

• Draft, review, and negotiate a wide range of legal documents including letters of intent, NDAs, purchase agreements, merger agreements, and corporate governance materials

• Collaborate with internal business units, finance, and external counsel to ensure legal compliance and alignment with business objectives

• Conduct and oversee legal due diligence processes and risk assessments related to acquisitions

• Advise senior leadership on legal risks and implications related to strategic business initiatives

• Monitor legal trends and changes in M&A regulations and corporate law
