IMEG is growing, and we’d love to have you join our team! We are currently seeking an Associate Counsel, M&A in our Rock Island, IL, or Chicago,IL office. The Associate Counsel M&A will be responsible for overseeing and executing complex M&A transactions, providing expert legal guidance, and ensuring compliance with regulatory requirements. Reporting directly to the Chief Legal Officer, this position advises on strategic acquisitions, mergers, divestitures, and joint ventures. This position works closely with the M&A team and supports IMEG’s litigation and project claims, as time permits.
Principal Responsibilities
Provide legal guidance and strategic support on M&A transactions, including deal structuring, due diligence, and negotiations
Draft, review, and negotiate a wide range of legal documents including letters of intent, NDAs, purchase agreements, merger agreements, and corporate governance materials
Collaborate with internal business units, finance, and external counsel to ensure legal compliance and alignment with business objectives
Conduct and oversee legal due diligence processes and risk assessments related to acquisitions
Advise senior leadership on legal risks and implications related to strategic business initiatives
Monitor legal trends and changes in M&A regulations and corporate law
Required Skills/Abilities:
Highly organized, with good time management skills
Ability to multi-task and prioritize in order to meet deadlines
Excellent written and verbal communication skills
Ability to work with sensitive information and maintain confidentiality
Outstanding ability to analyze and negotiate complex legal issues
Positive, collaborative attitude, with the ability to work well with co-workers and outside counsel
Exceptional written and verbal communication skills, with the ability to distill complex legal concepts into clear, actionable guidance
Ability to travel up to 25% of time, with occasional overnight stays
Juris Doctorate Degree from an accredited American Bar Association (ABA) law school required
Admission to at least one state bar
1 or more years of mergers and acquisition experience with a law firm or corporate legal department
Architecture, Engineering, and Construction (AEC) industry experience preferred
