The Role:
The Federal Reserve Bank of Dallas is looking for a Corporate Secretary who is a proven leader and will work collaboratively with the Bank’s Board of Directors and senior management to consistently provide excellent governance and engagement with stakeholders for the Bank. In addition, this leader will be responsible for implementing the strategic direction for the Office of the Corporate Secretary (OSEC) and collaborating on initiatives for the Bank as a whole. The Corporate Secretary will also collaborate with peers and stakeholders across the Federal Reserve System and will ensure their team and the practices of the Bank sustain and enhance the Bank’s reputation as a trusted public and financial institution.
You Will:
Be a leader within the Bank in vision, presence, and citizenship.
Have an enterprise mindset. Ensure solutions are focused on the success of the Bank and the Federal Reserve System.
Ensure the efficient functioning of the OSEC. This position is responsible for managing all activities relating to the Board of Directors and its interactions with senior management.
Build connections with the Board of Directors, prospective Board members, other Reserve Banks, and the Federal Reserve Board to increase the Bank’s thought leadership within the Federal Reserve System.
Seek and develop the best talent available; and mentor and support staff to develop future leaders.
Manage preparations for and execution of all main office Board of Directors’ meetings, committee meetings and events.
Lead the director orientation program, including coordinating with senior leaders to create orientation materials.
Engage in Board development activities, including the director selection and nomination process and succession planning.
Ensure sensitive and complex issues related to the Board of Directors are handled with complete discretion and superior professionalism.
Maintain corporate governance practices and policies in accordance with applicable Bank and Board of Governors policies and the Bank’s bylaws.
Ensure that the OSEC and Board of Directors processes and procedures comply with all applicable requirements, including adherence to Federal Reserve Act and Board of Governors' regulations and policies concerning governance and director eligibility.
Maintain leading performance metrics including cost and productivity, proper risk management, and other measurements. Ensure effective knowledge management and distribution of data.
Responsible for managing budgets and projections, monitors OSEC’s expenditures to ensure they are appropriate and within budget.
Collaborate with branch management to ensure a consistent experience for all directors.

You Have:
Ability to influence management and stakeholders of the Bank, and across the System, through exceptional relationship management, judgment, and persuasive communication skills.
Strong collaboration skills and an interest in ensuring strong cross functional and enterprise- wide relationships with an ability to partner effectively with others in the pursuit of common goals within a matrix organization.
Effective interpersonal and diplomacy skills, and excellent presentation skills.
Minimum seven-ten years' experience in corporate governance, legal, or compliance.
Minimum seven-ten years' experience leading employees.
Substantial knowledge regarding the roles and responsibilities of directors as well as board and committee processes.
Bachelor’s degree with an emphasis in business, public administration or other related field required. Master’s or Law degree preferred.
Expert verbal and written communication skills, including advanced attention to detail?building skills. Lead with integrity, demonstrating honesty and respect.
Deep interest in public service and commitment to the mission of the Federal Reserve System.
Industry experience in a regulated institution preferred.
Ability and willingness to travel (20%).
