Position Overview: The Secretary to the Corporation will report to the General Manager/Chief Operating Officer (GM/COO) and will work directly with the Corporation’s Board of Directors. The successful candidate will be a person with keen attention to detail coupled with the ability to envision and effect successful and efficient institutional processes who can balance multiple responsibilities and effectively communicate with both management and the Board.
Key Responsibilities:
Ensure adherence to The Westchester Bylaws and to governance best practices.
Support the efficient operation of Board activities, including preparing Board meeting materials, attending all Board meetings, and taking and distributing Board meeting minutes, as well as organizing the Corporation’s annual meeting and supporting Board elections.
Maintain the records of the Corporation and the Board.
Serve as The Westchester’s primary point of contact when units are bought, sold, or transferred.
Assist GM/COO in ensuring compliance with statutory and regulatory requirements.
Facilitate effective communication between the Board, management, and Member-Owners (i.e., residents).?
Minimum seven years of experience with corporate legal issues, regulatory compliance, or organizational governance.
Bachelor’s degree required, advanced degree preferred (e.g., Juris Doctor, Master’s in Business Administration, Master’s in Public Administration).
Certification as a Certified Secretary (CS) or a similar professional designation.
Strong organizational skills with a proven ability to manage complex administrative tasks.
Excellent written and verbal communication skills.
Previous experience in residential or commercial real estate or property management preferred.
Ability to maintain confidentiality and manage sensitive information.
Proficiency in using corporate governance software and tools.
Proficiency in record retention and document archiving.
Certifications, affiliations, and active involvement in relevant professional organizations.
