The Associate Director, Senior Counsel Venture Fund provides a broad range of legal services, typically to clients at the VP level who control business activities and below. The level of counseling provided requires broad understanding of the impact decisions may have on the overall business, as the risks associated with incomplete advice are high. Duties for this role include drafting of legal and transaction documents and provision of legal counsel. The incumbent should have acquired knowledge of law in at least two specialized areas (e.g., venture funds, M&A, etc.) critical to maintaining business operations and be knowledgeable about the products, competitors and regulatory environment of the company's businesses.
Duties & Responsibilities
Primary US lawyer providing strategic and tactical legal advice to the Head of Boehringer Ingelheim Venture Fund in the United States and active participant with the global Venture Fund legal team in all aspects of Venture Fund portfolio management. Will also support the US Strategic Transactions and Contracting team on specific projects and possibly contract overflow work on occasion.
Drafting, negotiating and finalizing term sheets and investment agreements for new investments for the Venture Fund and other transactions documents in support of portfolio management. Advising and supporting investment managers as directors/shareholders representatives for existing investments. Liaising with external counsel, and running tender for appointment of external legal counsel panel. Drafting standard legal templates for use by investment managers. Support portfolio management at all stages (financing rounds, convertible loans, exits) with legal and business insight. Provide corporate governance and housekeeping legal advice when needed for the Venture Fund.
Expert understanding of state and federal laws, regulations and policies in several specialized legal areas; strong working knowledge of laws, regulations and policies in corporate law and governance, mergers and acquisitions, and transactions; ability to interpret and apply such laws, regulations and policies to inform business activities. Has ability to apply law from several areas to complex business situations.
Influences clients by identifying and communicating to clients risks associated with complex business activities within lawyer's broad understanding of several specialized legal areas, which specialized legal areas may include: Corporate Governance, Intellectual Property, Regulatory, Trade, Compliance, Contracting, Environmental, Employment, Litigation and/or Antitrust; helps identify risks in areas outside lawyer's specialized legal area and provides value-added corporate law insight to evaluate risks effectively; provides training and business advice to clients on applicable legal issues within lawyer’s broad legal expertise.
Partners with business by considering immediate business/legal issues in a broader business context and identifying broader business purposes and objectives; proactively applies broad legal expertise to address both the specific business activity and influence the broader business purposes and objectives; developing alternative fact hypotheticals and legal solutions to clarify options and enable the achievement of successful business outcomes.
Expected by business management to take the lead in negotiating on behalf of client to achieve solutions that attain business objectives.
Advises, partners with or engages in-house or outside counsel where appropriate.
Strong knowledge of national business environment in which client competes. Keeps current with evolving legal and business issues within lawyer’s broad expertise, promotes corporate policies and proactively monitors client’s business environment.
Member of the US Legal and Compliance department.
Requirements
Juris Doctorate degree from an accredited law school
Qualified attorney licensed to practice in a least one jurisdiction and able to be qualified as US in-house counsel.
At least four (4) to six (6) years of relevant legal experience, at least two (2) of which includes experience in the venture fund/capital space, with experience in pharma, life science, or healthcare preferred; admission to at least one State bar.
Excellent oral and written communication skills.
Excellent organizational skills; demonstrates discretion and ability to maintain confidentiality of information.
Proven negotiation and influencing skills.
Ability to interact with executives at all levels.
Business partner oriented mindset, analytical skills with strategic and long term thinking.
This role can be located in our Ridgefield, CT or Boston, MA Offices. Our teams work hybrid on site - 2-3 days per week.
