In-house counsel for Owens & Minor, Inc., providing subject matter expertise and strategic advice with a focus on securities law and corporate governance. Advises the General Counsel and the Company’s executive leadership team on compliance with applicable securities laws and regulations, as well as strategic corporate governance and finance matters.
ESSENTIAL JOB FUNCTIONS
Assist in preparing 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 Reports, and other SEC-related documents
Assist in the planning and execution of quarterly board meetings and the Annual Meeting of Stockholders
Work closely with the General counsel, executive leadership and investor relations regarding disclosure matters and NYSE, SEC, and corporate law requirements, including Reg FD and use of non-GAAP financial measures
Assist with public company communications, including press releases and investor presentations
Assist with administering the Insider Trading Policy, 10b5-1 plans, and related employee and director equity matters
Support the Treasury function and provide strategic advice on finance-related legal matters
Support merger and acquisition activities
Support public company secretarial function, including assisting with the preparation of Board and committee materials
Support Internal Audit with SOX compliance matters
Stay current on governance trends and best practices, SEC and NYSE developments
Advise on capital markets transactions
Lead subsidiary and affiliate entity management
Manage complex legal and business matters involving multiple stakeholders
EDUCATION & EXPERIENCE
Juris Doctorate degree from an accredited law school
Six (6) or more years of relevant legal experience with SEC reporting and securities law compliance, with at least four (4) years of practice with a large law firm
Active Bar member in good standing, or ability to be admitted as in-house counsel
Proven experience as a legal counsel to business clients; experience in healthcare preferred

Expertise in SEC reporting and compliance, corporate governance, mergers and acquisitions, and related matters
Excellent written and verbal communication skills, attention to detail, sound judgment and the ability to handle multiple projects at once

Strong research and writing skills
Excellent organization skills and ability to function both independently and in collaboration with other professionals
Ability to lead, provide guidance and supervision to others and the ability to act decisively when required
Ability to influence peers across functions and provide timely counsel to internal clients
