SEC Corporate Counsel
AMN Healthcare
Dallas, Texas or San Diego, CA (Hybrid work model as of June / July)
The Corporate Counsel advises AMN leadership and team members on corporate, compliance and commercial activities. As a key part of our team, you will provide legal counsel in connection with a range of activities, including corporate governance, SEC reporting, compliance with securities laws, commercial contracts, regulatory compliance and other strategic transactions.
Job Tasks:
- Prepare and review SEC filings, including 10-Ks, 10-Qs and other periodic reports, proxy statements and investor relations materials;
- Support the corporate secretarial function, including preparation of materials for Board of Directors and Committee meetings and the Company's annual meeting of shareholders;
- Draft and negotiate a broad range of contractual matters to support the Company's business segments;
- Conduct due diligence and review financing transactions;
- Provide legal support and clear, pragmatic advice to internal team members on a broad range of issues, including general business law, intellectual property and compliance related issues;
- Build close cross-functional relationships with team members in supported businesses and obtain and maintain a solid knowledge of the products, services and objectives of those operations;
- Comfortable working and communicating with senior leaders and executive management; and
- Assist department team members with AMN's Ethics in Action program and activities and resources to promote AMN's Core Values and commitment to ethics.
Minimum Education/Certifications:
- Bachelors’ Degree
- Juris Doctorate Degree
- Admission to Texas or California Bar
Minimum Experience:
- At least 2-5 years of experience as an attorney in a well-regarded firm and/or an in-house practice counseling public companies on SEC compliance and transactional matters
