Job Description
We are looking for a highly-motivated and extremely-effective Senior Counsel to join our corporate governance team. This position requires the ideal candidate to work independently and creatively to lead various projects affecting the Corporate, Securities and Governance function of the Legal Department in a fast-paced environment.
Areas of responsibility include:
- Assist with reviewing, revising and interpreting Governing Documents, Board Policies, and other Corporate Policies
- Assist with shareholder engagement program with institutional investors
- Monitor and evaluate consequences of updated voting policies from top institutional investors and proxy advisory firms
- Research Board-related/governance matters
- Manage administrative items for the Company’s Board of Directors, including Board postings through the Board’s information portal
- Assist with Proxy Statement (including drafting certain Governance sections)
- Assist with certain shareholder proposals as part of a broader proposal management protocol
- Oversee project management of Annual Shareholders’ Meeting
- Be a liaison to the ESG Working Group
- Help to facilitate Board meeting protocols
- Manage Governance paralegal
Qualifications
Must be fully vaccinated (i.e., at least 2 weeks after last dose) for COVID-19 and, if hired, present proof of vaccination by start date.
- J.D. Required
- Corporate governance experience, preferably at a law firm and/or public company.
- Project management experience.
- Outstanding communications and leadership skills with proven success in building internal and external partnerships.
- Ability to be a strategic partner and trusted advisor for high-profile global business.
- Ability to influence and lead cross-functional teams.
- Ability to participate effectively and constructively as a member of a team.
- Excellent academic credentials.
- Must exercise sound judgment, be able to work efficiently under time pressures and deadlines in a fast-paced, demanding environment.
