Womble Bond Dickinson (US) LLP is currently seeking a junior to mid-level Executive Compensation Associate to join its Corporate & Securities Practice Group. Candidates must have two to four years of corporate and securities experience in a large regional or national firm. Responsibilities would include working on all aspects of executive and director compensation, such as equity plans, cash incentive plans, employment agreements, severance agreements, change in control arrangements, deferred compensation arrangements, and other compensation plans/agreements for clients of all sizes and structures, including our Public Company Advisory Team (PCAT) public company clients.
In this role, a successful candidate will: (1) develop expertise regarding the many legal and related aspects of that impact compensation matters, such as corporate laws, tax laws, securities laws and other rules and guidance (e.g. of stock exchanges, proxy advisory firms); (2) advise clients regarding 1933 Act and 1934 Act matters that impact public company compensation arrangements, such as proxy statements, Section 16 reports and analysis, Form 8-K reports, Form S-8 registration statements/prospectuses and other matters; (3) advise clients regarding corporate governance matters and cross-border compensation matters; and (4) provide guidance in M&A transactions from a compensation perspective, such as advising buyers and sellers regarding the treatment of equity awards in transactions, incentive bonus plans, employment agreements, performing diligence in transactions and other matters.
Candidates must be licensed to practice law in the jurisdiction in which they are located or have the ability to become licensed as soon as possible.
