The Associate General Counsel, Corporate and Securities will advise on a broad range of corporate, securities and governance matters. In this role, you will support the IDEXX Board and Committees; SEC reporting; securities law and NASDAQ compliance; financing transactions; corporate governance; and environmental, social and governance (ESG) programs and initiatives.
You will report directly to the Chief Corporate and Securities Counsel and work closely with the General Counsel and the other members of the Corporate and Securities Legal team. In addition, you will interact regularly with executive leadership (including the CEO and his Chief of Staff, the CFO and the CHRO) and IDEXX Board members. This role may be remote from anywhere in the U.S. or based in Westbrook, Maine, but must be available for periodic in-person meetings, including but not limited to, onboarding meetings and in-person IDEXX Board and Committee meetings.

WHAT YOU'LL BE DOING:
- Assist with providing legal support to the IDEXX Board, including advising on substantive legal matters; developing calendars and meeting agendas; working cross-functionally to plan, organize and execute IDEXX Board and Committee meetings; preparing and reviewing materials for IDEXX Board and Committee meetings; and supporting director onboarding and education.
- Prepare the annual meeting proxy statements and work cross-functionally to plan, organize and execute IDEXX stockholder meetings.
- Work with other Corporate and Securities team members to:
- Review and/or prepare Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K and SEC registration statements.
- Collaborate with the Finance, Investor Relations and Marketing teams on external communications, including earnings releases, earnings scripts, press releases, investor presentations, investor communications, internal communications and other materials.
- Ensure compliance with U.S. securities laws and regulations and NASDAQ requirements, including through IDEXX’s policies, procedures and training with respect to insider trading, Section 16 reporting and Regulation FD.
- Advise on corporate governance, executive compensation and other related matters (such as equity plan administration) and develop and refine applicable corporate governance policies and procedures.
- Work cross-functionally to develop and support ESG programs and initiatives and related disclosures, as well as shareholder engagement communications and initiatives.
- Monitor and advise on the potential impact of new and proposed securities laws and regulations; NASDAQ rule changes; ISS and other proxy advisory firms’, as well as institutional investors’, voting policy changes; and developments, trends and evolving best practices in corporate governance and ESG.
- Provide legal support on financing and capital structure transactions for IDEXX Laboratories, Inc.
- Work with and supervise outside counsel on various legal matters as appropriate.
- Adhere to and model the IDEXX Purpose & Guiding Principles.
- Occasional travel will be required, including travel to in-person IDEXX Board and Committee meetings.
TO BE SUCCESSFUL IN THIS ROLE, YOU'LL NEED:
- J.D. from a national law school, excellent academic credentials, and admission to any state bar in the United States.
- Minimum of 6 years of corporate and U.S. securities law experience required. Mix of both law firm and in-house experience preferred.
- Experience advising on U.S. public company reporting and disclosure requirements under SEC and NASDAQ rules and working cross-functionally to draft and review all periodic SEC reports, proxy statements and other SEC-related forms and filings.
- Understanding of corporate governance matters, as well as knowledge of evolving ESG, governance and disclosure best practices with relevant policy positions of proxy advisory firms, institutional investors, ESG raters and rating agencies.
- To be intellectually curious, exceptionally organized and highly analytical and attentive to detail.
- Strong problem-solving and critical thinking skills, and excellent research, writing, and editing skills.
- Outstanding verbal and written communication skills, including the ability to write and present in a manner appropriate for executive- and director-level communications.
- To be a hard-working, proactive self-starter who thrives in a fast-paced and complex professional environment.
- Proven ability to work effectively under pressure and with limited supervision and to manage, prioritize and successfully complete multiple, time-sensitive projects.
- Excellent interpersonal skills and the ability to establish and maintain strong relationships with key stakeholders, including executive and senior leaders, IDEXX Board members and executive administrative staff.
- Executive presence and be poised, confident and unflappable, comfortable with ambiguity and change and able to remain focused, calm and professional at all times.
- To have sound judgment and always act with the highest ethical standards, respect for confidentiality and a high degree of professionalism and discretion.
- To be comfortable with software and technology and have experience with MS Office applications (i.e., Excel, Word, PowerPoint, Outlook), Teams, WebEx, Box, etc.
