The Society of Actuaries (SOA) has engaged Major, Lindsey & Africa on an exclusive basis to conduct a search for a General Counsel. The SOA is the world’s largest actuarial professional organization with more than 30,000 actuaries as members and thousands of candidates taking its credentialing exams. The SOA advances actuaries as leaders in measuring and managing risk to improve financial outcomes for individuals, organizations and the public. Actuaries are highly sought-after professionals who develop and communicate solutions for complex financial issues.
The General Counsel is the chief legal officer for the SOA, providing counsel on, advice with respect to, and assessment of legal risk and implications of the SOA’s areas of operations to its Board, CEO, executive leadership and staff. Additionally, the General Counsel leads strategic and tactical legal initiatives, oversees the work of outside counsel, and is directly involved in complex business transactions and in negotiating critical contracts.
The successful candidate will have at least 15+ years of legal experience gained in private practice at a large law firm, as in-house counsel, or preferably a combination of both. The right candidate will have deep experience in and understanding of contracts and commercial law, corporate governance and working with a board of directors, employment law, and the protection of data and intellectual property. Experience with Illinois Not-for-Profits or associations is preferred as is an understanding of professional credentialing. Prior experience working as part of an organization’s senior management team is a plus. Experience supervising and managing other legal professionals is strongly preferred. The SOA’s headquarters are in Schaumburg, Illinois, with a satellite office in downtown Chicago. The role is hybrid in nature.
