What makes a fantastic Paralegal? We are seeking a highly skilled legal professional (certified paralegal or equivalent) to provide expertise and leadership on a variety of strategic corporate matters and to lead the global transformation of legal entity management at Fiserv. This includes supporting merger and acquisition and other commercial and corporate transactions; responsibility for preparing, delivering and managing corporate board agendas, meeting materials and minutes; managing electronic board portal; managing domestic and international legal entities, including periodic reporting and corporate record maintenance; forming, merging, and converting legal entities; and administering electronic legal entity management system.
Reporting Relationship: Reports To: VP, Assistant General Counsel Primary Working Relationships: Corporate Functions, International Group, and Business Unit Counsel and Executives
To be successful in this role, you will:
Form and merge entities in domestic and international jurisdictions; assist in the preparation and completion of corporate transactions such as internal reorganizations, and mergers and acquisitions.
Prepare corporate board and committee meeting agendas, meeting materials, and minutes; ensure timely delivery to board members and appropriately maintain archive. Maintain online board portal.
Manage domestic and international subsidiaries, including preparation of minutes and consent actions, ensuring compliance with corporation laws globally and managing corporate records.
Process and organize corporate state compliance documents; make necessary periodic filings.
Administer electronic entity management system.
Performs other duties as required.

Qualifications for consideration:
5+ years of experience working in a corporate law firm or in-house as a corporate paralegal
Prior experience investigating complex business problems, developing effective recommendations, present solutions and resolve problems in a highly professional and tactful manner.
Demonstrated experience with strong analytical and decision-making skills
Strong focus on organizational skills, with the ability to multi-task
Preferred qualifications for consideration:
Familiarity with electronic board portal (Diligent) and corporate management systems (Diligent Entities)
Demonstrated experience managing board and corporate governance compliance processes
