Adjacency Holdings, Inc. (“AHI”) is a unique group within American Family (“AmFam”, the “Company” or the “Enterprise”) that buys, builds and grows businesses that are adjacent to the core insurance operations of AmFam. AHI was formed in 2019 to help AmFam compete in an age of disruption by creating meaningful and non-obvious strategic value for the Enterprise.
The Managing Principal of AHI’s M&A team engages in the development, strategy, execution and integration related activities associated with mergers and acquisitions (M&A) and other similar initiatives for AHI. This role is responsible for developing, maintaining and enhancing working relationships with adjacency interests.
Develops and directs the strategy for and execution of M&A, other inorganic initiatives and related post-closing activities under AHI leadership, AHI Board of Directors and other relevant Enterprise stakeholders.
Leads the development of investment and growth theses based on industry research and internal knowledge.
Develops robust relationships with key stakeholders, external parties and other internal partners to provide input on inorganic opportunities and early insight to relevant opportunities as well as generate deal flow
Evaluates deal opportunities using criteria and methods relevant to AHI’s framework, presents findings and recommendations to AHI leadership for investment decisions.
Develops and executes negotiation strategies and assists in closing new and follow-on funding by coordinating requirements, working with legal counsel as required.
Identifies and executes opportunities to aid portfolio companies in growth, solving pressing problems and long-term challenges.
Supports the development of business plans with portfolio company leaders, including strategy, finance, marketing, operations, technology, and other relevant components.
Serves as AHI’s representative as needed on portfolio company boards and advisory councils as a director, member, or board observer.
Researches and recommends strategic positions and leads strategic planning sessions with AHI management.
Participates in capital source relationship management.
Ability to manage all facets of transaction process from initial deal sourcing through closing.
Develops relevant processes, connecting with internal partners, and guiding/coaching team members.
Specialized Knowledge and Skills Requirements
Demonstrated experience in investment banking, private equity or mergers and acquisitions.
Basic knowledge and understanding of insurance.
Basic knowledge and understanding of certain technology concepts potentially related to insurance
Demonstrated experience negotiating business transactions.
Demonstrated experience with complex financial analysis, financial modeling and valuation.
Solid knowledge and understanding of corporate finance and capital markets.
Solid knowledge and understanding of corporate governance.
Demonstrated experience developing presentations and communications.
Demonstrated knowledge and understanding of key due diligence components of a transaction, especially those financially related. ??
Future travel will be required when safe to do so, up to 50%.
