Under Armour’s Senior Lead, Corporate Governance, will report directly to the Vice President and Managing Counsel, Corporate Affairs, and work as a critical part of the Corporate Secretary’s office. This person will have significant responsibility for managing critical workstreams related to the Company’s overall corporate governance program. This position will include interaction with Under Armour’s Board of Directors and senior executive officers. This teammate must be excited and able to work independently in a fast-paced environment with an engaged team.
Essential Duties & Responsibilities
Coordinating and planning of Board of Directors and Committee meetings, including planning of Committee agendas, production and distribution of Board and Committee materials and managing Board member and executive schedules and inquiries.
Maintaining corporate records and documentation, including minute books and key corporate governance documents and policies.
Coordinating and planning of overall process related to the Annual Stockholders meeting and assistance with the preparation of the annual proxy statement.
Overseeing administration of Director Compensation and maintain responsibility for Section 16 filing obligations for Directors and Executive Officers.
Ensuring compliance with all corporate governance requirements, including NYSE requirements and attestations, charter requirements, and administration of Board and Committee questionnaires and evaluations.
Researching and advising team members of legal and regulatory developments for publicly traded companies, governance trends, shareholder advisory group policies, and other similar matters.
Assisting with strategic corporate transactions and major financing matters, including due diligence matters, as well as key department initiatives.
Working cross functionally to manage key external facing shareholder matters, including maintaining corporate governance website, responding to certain shareholder inquiries, communicating with proxy advisory firms and managing transfer agent matters
Qualifications (Knowledge, Skills & Abilities)
Must have experience working at a publicly traded company
Excellent interpersonal skills with experience working directly with Board of Directors or C-suite executives
Excellent written and oral communication skills
Demonstrated understanding and ability in handling confidential or sensitive matters
Strong attention to detail and ability to multi-task and plan ahead
Must be self-starter, highly motivated with strong collaboration skills
Diligent Boards experience a plus
Education And / Or Experience
Minimum of Bachelor’s degree is required.
8+years of professional experience, with a minimum of 5 years of direct corporate governance experience.
High level of expertise in Corporate Secretary function required.
