The Director, Corporate Counsel provides legal counsel and advice to the Company and its affiliated operating companies including legal support to the company’s mortgage insurance operations, product development and sales groups. The Director provides legal support on SEC filings and compliance matters, including 1933 and 1934 Act filings, financing and reinsurance arrangements, Federal and state laws and regulations affecting mortgage guaranty insurance (including, but not limited to, RESPA, ATR, QM, QRM, anti-inducement, anti-rebate, unfair discrimination, unfair practices), regulatory inquiries, investigations and examinations, and Government-Sponsored Enterprises (GSE) matters. This position will also provide risk management advice to support the Company’s strategic initiatives and corporate objectives and interpret and advise on master policy issues.
JOB DUTIES & RESPONSIBILITIES
Collaborate with the General Counsel/Chief Legal Officer, NMI law department, outside counsel, senior management and employees at all levels to provide legal services and advice to sales and sales support functions, product development, policy servicing and default servicing to advise on general commercial matters, research and prepare memoranda on legal issues, help solve complex problems, and advise on compliance, corporate governance and regulatory matters.
Draft, review and oversee responses to customer and servicer agreements, vendor contracts, lender questionnaires, master policy forms and endorsements, and performing required legal research.
Benchmark state-of-the-art practices to assist with the continued development of processes and procedures to support the Company’s maturing operations including refinement of default and claims related processes.
Negotiate with and act as a resource for lender customers related to legal issues that arise under the Company’s insurance policies.
Review and analyze legal risks for National MI with respect to development of products and services.
Assist with compliance with NASDAQ rules and regulations and general ’34 Act matters.
Assist on stock administration matters arising under the Company’s equity compensation plans.
Provide back-up legal support on debt, equity and reinsurance offerings, as necessary.
Attend educational conferences and seminars to maintain professional and technical knowledge. Review professional publications, establish personal networks and participate in professional societies.

SKILLS & KNOWLEDGE
Juris Doctorate (J.D.) from an accredited law school; license to practice law in one or more states and/or the District of Columbia; if not licensed in California, then eligible to be admitted as a Registered in-house counsel in California.
Three or more years of professional corporate and securities legal experience in a business environment in a top law firm. Experience in mortgage insurance or insurance a plus.
Expertise in drafting and negotiating a wide range of legal documents and contracts.
Highly proficient with Microsoft Office products, Nitro Pro, Diligent OneClick, Workiva, Echosign and Adaptive Insights.

Excellent written and oral communication skills.
