Our 18-person Legal and Regulatory (“legal team”) team prioritizes collaboration, creativity, innovation, and the ability to scale our activities to achieve greater efficiency and effectiveness. In addition to providing superb legal advice, our legal team focuses on building deep relationships with other BMGI teams to add value to our investment process.
You will join our legal team and be a key contributor to critical and complex transactions broadly affecting our portfolio. Your primary responsibilities will include working with a cross-functional team to successfully complete a wide range of investment transactions across multiple asset classes and jurisdictions, as well as supporting existing portfolio holdings and general commercial transactions. Closely partner with investment teams to provide strategic, holistic, and portfolio-wide advice on corporate governance, transactional, structuring, and other legal matters.
Provide pragmatic and proactive guidance and manage legal aspects of a broad range of investments, including real estate, private equity, public equity, venture capital, debt, workouts, M&A, agriculture, and fund investments (buyout, venture capital, distressed, commodity, and funds-of-funds).
Conduct due diligence, draft and negotiate term sheets and a variety of investment related agreements (including, purchase and sale, shareholder, registration rights, investment management, partnership, subscription agreements, joint venture, and other agreements).
Bring innovative and thoughtful solutions to challenges arising in bespoke transactions.
Collaboratively guide deal teams, fostering consensus with internal parties and external partners.
Develop an in depth understanding of the business and portfolio in order to deliver cross-functional proficiency across a range of topics.
Proactively identify issues, provide analysis, and act as a resource regarding existing portfolio holdings, including board participation and stockholder matters.
Review, draft, and negotiate other commercial agreements.
Work with outside counsel, investment professionals, and members of the investment services team to address other legal, regulatory, and business issues.
Lead or participate in cross-functional internal projects.

J.D. degree, with 10-15 years of transaction experience required.
Prior work in a large law firm preferred.
In-house experience with a buy-side investor preferred (alternatively, in-house experience with a sophisticated legal department).
Broad experience leading, negotiating and executing transactions in several of the following areas: private equity, real estate, venture capital, fund investments, fund formation, private debt, workouts, public equity, public debt, M&A, and commercial transactions.
Familiarity with regulatory and compliance issues associated with transaction and investment-related activities (e.g., HSR, FCPA, Securities Act, Securities Exchange Act).
Experience acting as an influential, cross-functional leader who is able to develop a holistic perspective and analyze issues with an investment mindset.
Ability to foster and maintain valued and respected relationships both internally and externally at all levels, and to cultivate a positive and productive team dynamic.
Exemplary written and oral communication skills, with the ability to succinctly translate legal principles into actionable business use.
