Job Responsibilities: Analyze, structure and execute transactions on behalf of corporate clients, with a focus on Financial Institutions including insurance companies (life, property-casualty, brokerage and reinsurance), specialty finance companies (consumer and commercial finance), and banks. Employ valuation techniques including discounted cash flow analysis (dividends and embedded value), comparable company analysis and precedent transaction analysis based on understanding GAAP and regulatory statements, company disclosures and industry specific research. Analyze accounting and regulatory statements, debt and equity filings and documents, financial projections and models prepared by clients in various formats focused on Financial Institutions. Perform due-diligence on Financial Institution companies, including generating and managing financial and operational diligence requests, discussing diligence requests with management and employees, and performing detailed analysis on private financial information. Model out the pro forma impact of potential and live transactions including equity and debt financing, and M&A. Manage deal execution, including preparing marketing materials, teasers, confidential information memorandums, running due diligence processes, drafting non-disclosure agreements and other legal documents with lawyers and potential buyers. Manage, guide and coordinate project workstreams and junior professionals’ work product, including reviewing financial modeling work and presentations prepared for transactions, corporate board meetings, investment banking pitches and client service projects. Present to clients, including top-executives, on topics such as strategic alternatives, industry update, capital markets activities, restructuring alternatives and corporate governance issues. Employ databases including Bloomberg, Thomson Eikon, SNL and FactSet to perform comparable company and precedent transactions analyses. Mentor and guide junior analysts across several projects at one time.
Job Requirements: Education Requirements: Master's degree or equivalent in Business Administration, Finance, Economics or related field and three years of related experience in investment banking, consulting, corporate finance, or private equity investing. Employer will accept a Bachelor's degree or foreign equivalent in Business Administration, Finance, Economics or related field and five years of related experience in investment banking, corporate finance, or private equity investing with a specific focus on the financial institutions sector as equivalent to the Master's degree and three years of experience.
Skills Requirements: Must have the ability to demonstrate the following skills. • Knowledge of and ability to employ valuation techniques including discounted cash flow analysis, comparable company analysis and precedent transaction analysis on corporate targets. • Effective development of written client presentations that synthesize and clearly communicate the results and considerations of complex analyses related to potential M&A transactions or financing. • Modeling the impact of potential transactions including financing and M&A and experience with accretion dilution analyses, has / gets analyses, intrinsic value analyses. • Effective oral communication of financial transaction-related analyses and presentations to both internal partners and client executives during general business development activities and live transactions. • Researching and analyzing corporate financial performance, capital structure, credit strength, and liquidity conditions by using databases including S&P Global, Bloomberg and Thomson Eikon. • Performing and managing due diligence on companies, including generating and managing financial and operational diligence requests, discussing diligence questions with management and employees, and performing detailed analysis on private financial information. • At least two years of experience as a mentor and guide to junior team members.
