McKesson Corporation has an opening for a corporate paralegal on the Corporate, Governance and Transactions team of the General Counsel’s Organization. The corporate paralegal will provide corporate governance and securities support as well as support for other corporate and contractual matters.
The successful candidate should have substantive experience in the following areas:
Preparation of materials for meetings of the Board of Directors and its committees, including drafting resolutions and unanimous written consents, minutes, objectives checklists
Administration of third-party electronic portal to distribute meeting and other information to the Board of Directors in a manner that ensures meeting content is delivered error-free and in accord with established timelines.
Maintaining minute books, governance document repository and board materials archive
Identification and implementation of process improvements to maximize Board efficiency and effectiveness
Preparation, review and analysis of director & officer questionnaires and preparation of director and officer onboarding and offboarding checklists and training materials
Design and preparation of proxy statement, working with cross-functional team members, including Total Rewards, corporate accounting, corporate communication and outside vendors; maintains backup documentation
Annual meeting of shareholders preparations, including coordination with proxy solicitor, financial printer and other vendors to ensure timely distribution of proxy materials to shareholders
Research and benchmarking on corporate governance matters
Preparation and filing of annual certifications and other reports with the NYSE
Assistance with federal securities law filings (10-Q, 10-K)
Management of legal documentation requests from internal and external stakeholders, including internal audit, risk control group, corporate accounting, litigation
This is an office-based role at McKesson’s Las Colinas, TX office and will report to a Chief Counsel in the Corporate, Governance and Transactions team of the General Counsel’s Organization. Occasional travel (less than 10%) may be required for Board meetings.

Additional Knowledge & Skills
Experience working within a public, Fortune 500 organization in a role that involves cross-departmental interaction
Experience with BoardVantage, QDiligence, WDesk, a plus
Strong Microsoft Word, Powerpoint and Excel abilities
Experience with Office 365 in general (Outlook, OneDrive, SharePoint, etc.)
7+ years of public company corporate paralegal/governance experience
Education: Bachelor's degree in related field or equivalent experience
