This position plays a key role in supporting the Corporate Secretary’s Office and the Board of Directors and related corporate governance, securities and public company matters, especially in light of increasing regulatory scrutiny and complexity and significant expectations and responsibilities of public company boards.
The position focuses on enhancing corporate governance practices and ensuring compliance with federal securities, corporate governance and NYSE requirements. The position will be responsible for centrally managing Board information systems, including hard copy and electronic files, logs, minute books, committee charters, records and information, and supporting the administration of the web-based BoardVantage information delivery platform. The position will also be responsible for staying current on corporate governance matters and benchmarking for best practices, administering the director compensation program, supporting the Company’s insider trading program and subsidiary management processes, and assisting with related SEC, NYSE and regulatory filings (e.g., Section 16 filings, Proxy Statement, etc.). The position may also assist with other paralegal tasks in support of the Legal department (e.g., litigation, etc.).
This role will be based in Avon’s Suffern, NY office.
5 to 7 years of experience
Paralegal certification/training preferred
Public company experience required
Strong analytical, interpersonal, written and verbal communication skills
Excellent organization skills with high level of attention to detail and accuracy
Excellent Microsoft Word, Excel, PowerPoint skills
Familiarity with web-based platforms, such as BoardVantage, preferred
Ability to work in a highly confidential environment
Highest standards of ethics and professional integrity
General understanding of e-discovery requirements and technologies a plus
General knowledge of Securities Exchange Commission (SEC) and the SEC’s Edgar system a plus
Ability to investigate, research and find solutions to solve issues in a business-oriented, proactive and timely manner
This position requires some late nights, early morning and weekends, as necessary, and a flexible work schedule will be important.
