BioMotiv is seeking candidates for the position of Sr. Legal Director to join its Legal group based in Cleveland, Ohio.
This individual will serve as an integral member of the legal department providing assistance and support on a broad range of legal matters effecting day-to-day business operations and will report to the SVP, General Counsel. The role is required to assist on a day-to-day basis on general corporate legal matters that arise for BioMotiv and its subsidiaries. Areas of emphasis include drafting and reviewing agreements related to commercial and technology licensing transactions, advise on mitigating legal risks, and establishing and supporting governance of subsidiary entities.

Primary Duties and Responsibilities:
Draft and review agreements and term sheets related to commercial transactions for early stage biologic transactions.
Assist the SVP, General Counsel in negotiating and drafting complex option and license agreements and other investment transactions..
Manage outside counsel on assigned transactions.
Manage corporate formations and financings for new BioMotiv subsidiaries.
Manage the legal review and negotiation of transactions related to day-to-day matters for BioMotiv and its subsidiary companies (services agreements, MTAs, MOUs, side letters, capital raises, LOIs)
Support and execute corporate governance matters of BioMotiv subsidiaries by properly drafting and maintaining corporate books and records. .
Support training and development of legal support team members within the organization.
Facilitate communication between the legal department and other departments in the organization.
Other duties as needed.
Greater than 7 years legal experience, preferably in the corporate life science sector.
Admitted in good standing to the Ohio Bar as in-house counsel or able to meet this requirement.
Experience negotiating and drafting technology licensing agreements. Experience with early stage technology transfers a plus.
Familiarity with corporate governance and entity formation preferred
Experience working with legal document management systems preferred
Management of Intellectual Property portfolios a plus.
Excellent written and oral communication, organizational and prioritization skills
Ability to work in a fast-paced environment, exercise sound judgment, and engage with team members at all levels
