The Office of the Corporate Secretary is responsible for all facets of the New York Life Insurance Board of Directors meetings and Executive Management Committee meetings,and provides legal advice with respect to corporate governance matters.
New York Life is looking for an experienced, dynamic paralegal with experience preferably in the corporate governance/financial services legal area. This is an exciting opportunity to grow in a firm with a history notable for consistent financial strength as well as dynamic innovation. This opportunity will report to the Associate General Counsel & Assistant Secretary.
Primary Duties and Responsibilities:
Assist attorneys in preparation and distribution of materials for Committee and Board meetings
Assist attorneys in drafting and revising legal memos and corporate governance documents, including resolutions, reports, talking points, meeting minutes and Director orientation materials
Coordinate projects in connection with Board meeting initiatives and other corporate governance matters
Draft, review and summarize Director Conflicts of Interest Questionnaires and responses
Conduct legal research and analysis and peer company comparisons on corporate governance and Board or Committee related issues. Draft concise and accurate written analyses, charts, etc.
Proactively research and maintain current legislative and regulatory corporate governance issues and educate staff, as appropriate. Ensure most up to date information is included in all corporate governance materials, such as mission statements, orientation programs and education, and that best practices are followed.
Required Skills and Qualifications:
BA or BS
Minimum 5 years of paralegal experience, preferably in corporate governance/financial services legal area
Previous Board experience preferred
Ability to work collaboratively to achieve team objectives
Excellent interpersonal and writing skills, executive presence and the ability to communicate effectively and concisely
Demonstrated ability to approach issues with a rigorous attention to detail and a big picture strategic focus
Superior proofreading skills and the ability to edit documents and suggest improvements to existing processes
Ability to handle multiple projects simultaneously, complete projects on a timely basis and to work in a fast-paced team environment
Flexibility to work significant additional hours, as needed, especially in preparation for Board meetings
Possess strong computer skills, including Word, Excel and Adobe
Experience with Boardvantage or Diligent a plus
