Reporting directly to the Corporate Secretary, serves as Board liaison and provides support for all Board of Directors related matters, including Board communications, Board meeting logistics, and Director compensation.
Responsible for Section 16 reporting, NYSE reporting, and assisting with proxy statement and annual report.
Maintains minute books and other corporate records. Assists with special projects and corporate governance research.
Prepare draft agendas, resolutions, unanimous written consents, minutes; maintains the Diligent Boardbooks web platform; ensures Board and committee meeting content is delivered in the appropriate format in accord with established timelines.
Manage all Board meeting logistics, including transportation, accommodations, meeting space, itineraries, vendor relationships and contract management; and contingency planning
Administer all Director compensation programs including quarterly retainers, annual equity awards; deferred compensation programs; assist with compiling tax information; assist Directors (and Executive Officers) with stock transactions and answer questions about the programs from Directors and their advisors
File all Section 16 reports for Director and Executive Officer stock transactions on the Securities and Exchange Commission (SEC) website within required time frames; researches transaction codes and reporting requirements; understands principles of Section 16(b) short-swing trading liability
Assists with annual reporting and annual meeting processes, including preparing Director & Officer (D&O) questionnaires and compiling information; reviewing and drafting proxy statement disclosures; files reports required by New York Stock Exchange (NYSE)
Identifies and Implements process improvements to maximize Board efficiency and effectiveness, maintains database of Director education programs; assists with new Director orientation
Ability to work some nights and weekends
Some travel required
3+ years of paralegal experience in the areas of corporate/securities law
High level of diplomacy and tact
in-house Paralegal experience

Self-motivated and able to work with minimal supervision
Excellent organizational skills and passionate attention to detail
Ability to prioritize workload in a fast-paced environment
Excellent written and verbal communication skills
Strong computer skills, experience with Google or Diligent Boardbooks
