Serve as a business advisor and provide practical, business-oriented legal advice and counsel, including appropriate risk assessment, to those Company division(s), regions and corporate functions from time to time.
Negotiating, writing and executing agreements and contracts on behalf of the company
Provide support for M&A transactions, including working on deal structure, and LOI terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process and execution.
Keep informed of new laws, regulations, and industry trends, and develop policies, programs, and training as needed, including environmental, health and safety, and labor and employment.
Advising on contract status, legal risks, and legal liabilities associated with different deals.
Researching and anticipating unique legal issues that could impact the company.
Developing the organizations policies on industry-specific issues, corporate governance or regulatory affairs.
Counsel division and corporate function(s) on employment matters
Attend and provide legal support at the company's Benefits & Investment Committees
Talent for thinking outside the box and confronting new issues and pursuing novel approaches to old problems.
Ability to strike sensible and practical balance between legal risks and the need to do business.
Adept to working in a fast-paced, high activity environment with smart and creative people.

Bachelor’s degree required
Juris doctorate degree from an accredited law school required
Active member in good standing of the bar in Iowa or eligible to become admitted to the Iowa bar
5+ years of significant corporate transactional and mergers and acquisitions experience, preferably at a recognized law firm
Experience drafting and negotiating transaction documents and overseeing due diligence in M&A transactions.
Excellent analytical, communication, diplomatic, research and writing skills.
Strong negotiating skills with both legal and financial/commercial issues.
In-depth understanding of how legal issues affect organizations
Ability to interact with all levels of management and employees in a professional manner.
Strong leadership skills. Ability to function independently, and also work well as part of a team.
Broad knowledge of local, state and federal safety regulations.
Flexibility and willingness to work on a braod variety of legal matters
Exceptionally organized, detail-oriented, and efficient.
Ability to handle ambiguity, juggle many matters at once and quickly shift from one situation or task to another.
